Please read these Terms and Conditions ("Terms") carefully before using the website and services operated by ED AutoMoto ("we", "us", or "our"). These Terms govern your access to and use of our platform, through which private individuals and entities may submit vehicles for potential purchase by us.

By accessing our website or submitting a vehicle through our platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

1. Definitions

For the purposes of these Terms, the following definitions apply:

"Platform" means the website and all associated services operated by ED AutoMoto.

"User" or "you" means any individual or entity accessing the Platform or submitting a vehicle.

"Vehicle Submission" means the process by which a User provides details of a vehicle for the purpose of receiving a purchase offer from us.

"Offer" means any non-binding or binding purchase price communicated by us in relation to a submitted vehicle.

"Transaction" means the confirmed sale and purchase of a vehicle between the User and ED AutoMoto.

2. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Be the registered owner of the vehicle you are submitting, or be duly authorised to act on behalf of the registered owner
  • Not be acting in violation of any applicable laws or regulations

By using our services, you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to refuse service to any person who does not meet these requirements.

3. Vehicle Submission Process

3.1 Submission of Information

When submitting a vehicle through our Platform, you agree to provide accurate, complete, and up-to-date information about the vehicle, including but not limited to its make, model, year, mileage, registration number, vehicle identification number (VIN), condition, and any known defects or damage. Deliberate misrepresentation of any vehicle information may result in the cancellation of any offer or transaction and may give rise to legal liability.

3.2 Ownership and Authority

By submitting a vehicle, you confirm that:

  • You are the sole legal owner of the vehicle, or are expressly authorised to sell it on behalf of the owner
  • The vehicle is free from any undisclosed financial encumbrances, outstanding finance agreements, or legal disputes
  • You have the right to transfer legal title of the vehicle to us
  • The vehicle is not subject to any recall, prohibition, or other restriction that would prevent lawful sale

3.3 Vehicle Inspection

We reserve the right to conduct a physical inspection of any submitted vehicle prior to finalising a purchase offer or completing a transaction. The results of such inspection may affect, modify, or withdraw any offer previously made. You agree to make the vehicle reasonably available for inspection upon request.

4. Offers and Pricing

4.1 Nature of Offers

Any valuation or indicative price provided through our Platform is an expression of interest only and does not constitute a legally binding offer unless explicitly confirmed by us in writing. We reserve the right to revise or withdraw any indicative valuation at any time prior to written confirmation.

4.2 Binding Offers

A binding offer will be communicated to you in writing following our review of your vehicle submission and any applicable inspection. Such offer will specify the purchase price, the conditions of the offer, and the period during which the offer remains valid. Acceptance of a binding offer must be communicated to us within the stated validity period.

4.3 Offer Conditions

All offers are made subject to the vehicle matching the description and condition provided by you in the submission. Any material discrepancy discovered during inspection may result in a revised offer or withdrawal of the original offer. We shall not be liable for any loss or inconvenience arising from the revision or withdrawal of an offer.

5. Completion of a Transaction

5.1 Transfer of Ownership

Upon acceptance of a binding offer and completion of all required documentation, legal title to the vehicle will transfer to ED AutoMoto. You are responsible for ensuring that all applicable administrative and legal requirements for transferring vehicle ownership in your jurisdiction are fulfilled, including but not limited to the completion of transfer forms, deregistration, and notification of relevant authorities.

5.2 Payment

Payment of the agreed purchase price will be made by bank transfer to the account details provided by you. We aim to process payments within the timeframe agreed at the time of the transaction. We shall not be responsible for delays caused by banking intermediaries or incorrect bank details provided by you. All payments are made in euros (EUR) unless otherwise agreed in writing.

5.3 Cancellation by User

You may withdraw your vehicle from the submission process at any time prior to your acceptance of a binding offer, at no cost. Once a binding offer has been accepted, withdrawal may be subject to cancellation fees or other consequences as specified in the written offer documentation.

5.4 Cancellation by ED AutoMoto

We reserve the right to cancel a transaction prior to completion where we have reasonable grounds to believe that the vehicle information provided was inaccurate or misleading, where the vehicle is subject to financial or legal encumbrances, or where completing the transaction would expose us to legal or regulatory risk. In such circumstances, we will notify you as soon as reasonably practicable.

6. User Obligations and Prohibited Conduct

When using our Platform, you agree not to:

  • Submit vehicles that you do not own or are not authorised to sell
  • Provide false, misleading, or incomplete information about yourself or any vehicle
  • Attempt to circumvent any security, authentication, or access control measures of our Platform
  • Use automated tools, bots, or scraping software to access or extract data from our Platform
  • Engage in any fraudulent activity, including the submission of stolen or encumbered vehicles
  • Infringe the intellectual property rights or other rights of third parties
  • Use our Platform in any manner that violates applicable laws or regulations
  • Harass, threaten, or abuse our staff or representatives

We reserve the right to suspend or permanently terminate access to our Platform for any User found to be in breach of these obligations, without prejudice to any other legal remedies available to us.

7. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, software, and functionality, is the property of ED AutoMoto or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for personal, non-commercial purposes in connection with our services.

You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any content on the Platform without our prior written consent. Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation.

8. Limitation of Liability

To the fullest extent permitted by applicable law, ED AutoMoto shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
  • Loss of profits, revenue, data, business, or goodwill
  • Damages arising from inaccuracies in third-party data or valuations
  • Interruption or unavailability of the Platform due to technical failures, maintenance, or events beyond our control
  • Any loss arising from unauthorised access to your account or personal data resulting from your failure to take reasonable security precautions

Nothing in these Terms shall limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

9. Disclaimer of Warranties

The Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. We make no representation or warranty regarding the accuracy, completeness, or reliability of any content or information on the Platform.

10. Indemnification

You agree to indemnify, defend, and hold harmless ED AutoMoto and its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your breach of these Terms, your misrepresentation of vehicle information, or your violation of any applicable law or the rights of any third party.

11. Third-Party Services and Links

Our Platform may contain links to third-party websites or integrate third-party services for purposes such as payment processing, identity verification, or analytics. We have no control over and accept no responsibility for the content, privacy practices, or terms of any third-party websites or services. Your use of third-party services is governed by the respective terms and privacy policies of those third parties.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law principles. To the extent that you access our services from the United States, applicable US federal and state laws may also apply.

12.2 Jurisdiction

Any disputes arising out of or in connection with these Terms or your use of the Platform that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Belgium. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any jurisdiction.

12.3 Consumer Rights

If you are a consumer located in the European Union, you may also have the right to refer disputes to the European Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. Nothing in these Terms affects your statutory rights as a consumer under applicable EU or national law.

13. Modifications to These Terms

We reserve the right to amend or update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this document and, where appropriate, notify you by email or through a notice on the Platform. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of those changes.

We encourage you to review these Terms periodically to stay informed of your rights and obligations.

14. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ED AutoMoto with respect to your use of the Platform and supersede all prior agreements, representations, and understandings.
